ULTIMAKER DIGITAL FACTORY SUBSCRIPTION TERMS

These UltiMaker Digital Factory Subscription Terms (“Digital Factory Subscription Terms”) supplement and form part of the UltiMaker Terms of Use and the UltiMaker Privacy Policy. A “Digital Factory Subscription” is a time-limited right to access and use Digital Factory through an UltiMaker Account, offered in different service levels or tiers (which may include free or paid options) as made available by UltiMaker or an authorized reseller or distributor (“Authorized Party”), and subject to these Digital Factory Subscription Terms. “Subscriber” means a User who purchases or activates a Digital Factory Subscription. “Free Tier” means the no-cost service level of Digital Factory made available by UltiMaker. Capitalized terms not defined here have the meanings given in the Terms of Use or Privacy Policy.
By purchasing, activating, or using a Digital Factory Subscription, you agree to be bound by these Digital Factory Subscription Terms, together with the UltiMaker Terms of Use and the UltiMaker Privacy Policy, which are incorporated herein by reference. In the event of any conflict, these Digital Factory Subscription Terms govern with respect to Digital Factory Subscriptions.
1. PURCHASE CHANNELS.
1.1 For direct purchases, UltiMaker uses third-party payment processors to handle payments. These processors may retain your payment details to facilitate Digital Factory Subscription renewals. For purchases through an Authorized Party, you will make payment directly to the Authorized Party. Regardless of purchase channel, your use of a Digital Factory Subscription is subject to these Digital Factory Subscription Terms.
2. DIGITAL FACTORY SUBSCRIPTION TERM AND RENEWAL.
2.1 Term; Renewal. Digital Factory Subscriptions are offered on an annual basis unless otherwise specified at the time of purchase (each a “Subscription Term”).
2.2 Expiration and Renewal Notices. For Digital Factory Subscriptions purchased directly from UltiMaker, UltiMaker or our third-party payment processor may, but is not obligated to, send expiration reminders to the email address associated with your account from time to time prior to the Digital Factory Subscription expiration date. These reminders, if sent, will inform you that your subscription will expire unless you take action to renew. For Digital Factory Subscriptions purchased through an Authorized Party, expiration and renewal notices are sent from UltiMaker to the Authorized Party, and customer communications regarding expiration and renewal options are managed by the Authorized Party under its own terms with you.
2.3 Free Trials. UltiMaker may offer an introductory, time-limited right to access a paid Digital Factory Subscription without charge (a “Free Trial”). If you cancel the Free Trial or the Free Trial expires, your account will downgrade to the Free Tier immediately. Free Trials are available only to new Subscribers (defined above), unless otherwise stated in the applicable offer.
2.4 Downgrade and Workspace Limits. Upon downgrade of a Digital Factory Subscription (including expiration, cancellation, or transition from a Free Trial), the workspace associated with the applicable UltiMaker Account will be subject to the limits of the new service tier. If the workspace exceeds applicable limits for users, printers, projects, storage, or other resources, UltiMaker may automatically deactivate or restrict access to such resources until the workspace complies with the applicable limits. Deactivated resources will not count toward subscription limits and may be reactivated only if the workspace is within the applicable limits. UltiMaker may determine the order and manner of deactivation at its discretion, including based on activity levels, role assignments, sharing status, active duration, or other operational criteria. UltiMaker is not responsible for any loss of access, operational disruption, or workflow impact resulting from downgrade or enforcement of applicable limits.
3. CANCELLATION AND TERMINATION.
3.1 Cancellation. If you cancel your Digital Factory Subscription (excluding Free Trials), you will continue to have access to the Services until the end of your current Digital Factory Subscription term. Your Digital Factory Subscription will not renew thereafter.
3.2 Refunds. Digital Factory Subscription fees are non-refundable, except for refunds expressly provided under the Terms of Use or required by applicable law.
3.3 Termination by UltiMaker. UltiMaker may suspend or terminate your Digital Factory Subscription for material breach of these Digital Factory Subscription Terms or the Terms of Use.
4. ACCEPTABLE USE.
4.1 Your use of Digital Factory under a Digital Factory Subscription is subject to the Acceptable Use provisions in the UltiMaker Terms of Use.
5. LIMITATION OF LIABILITY.
5.1 To the maximum extent permitted by law, UltiMaker’s total liability arising out of or relating to these Digital Factory Subscription Terms shall not exceed the total Digital Factory Subscription fees paid by you to UltiMaker for the Subscription term in which the event giving rise to liability occurred. UltiMaker shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost data. This Section supplements the limitation of liability in the Terms of Use. In the event of conflict, this Section controls with respect to Digital Factory Subscriptions.
